Important Notice
By using Charm, you agree that:
Beta Service: The Service is currently in Beta. Bugs and downtime may occur.
No Malicious Code: You will not upload malware, crypto miners, or abusive scripts.
AI Output: We are not responsible for the accuracy or safety of content generated by AI agents.
As-Is: The Service is provided "as is" without warranties of any kind.
1. Acceptance of Terms
By accessing or using the Charm platform, CLI tools, SDK, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Service.
2. Description of Service
Charm provides an AI Unified System and a Cloud Runner environment that allows users to develop, deploy, and execute autonomous AI agents.
You acknowledge that the Service is currently in a Beta phase. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.
3. User Accounts & Security
To access certain features, you may need to register via third-party providers (e.g., GitHub, Google).
Responsibility: You are entirely responsible for maintaining the confidentiality of your access tokens and API keys (including BYOK keys).
Liability: You are fully responsible for all activities that occur under your account, including the actions performed by the Agents you deploy.
4. User Generated Content
Ownership: You retain all ownership rights to the code, logic, and intellectual property of the Agents you create and upload.
License to Host: By uploading your Agents to Charm, you grant us a worldwide, non-exclusive, royalty-free license to host, run, and display your Agents solely for the purpose of providing the Service.
Representation: You warrant that your Agents do not violate any third-party copyrights, privacy rights, or other laws.
5. Acceptable Use Policy
You agree NOT to use the Service to:
Crypto Mining: Deploy agents for cryptocurrency mining or any other rigorous CPU-intensive tasks unrelated to AI agent logic.
Malware: Upload viruses, worms, trojans, or any malicious code.
Network Attacks: Conduct DDoS attacks, port scanning, or unauthorized penetration testing against any target.
Illegal Content: Generate or distribute content that is illegal, sexually explicit, or promotes violence/hate speech.
Reverse Engineering: Attempt to reverse engineer the Charm Runtime or proprietary infrastructure.
Violation of this section will result in immediate termination of your account without notice.
6. AI & Output Disclaimer
Hallucinations: You understand that AI models (LLMs) can produce inaccurate, offensive, or biased output ("Hallucinations").
No Reliance: You should not rely on AI Agents for critical advice (including but not limited to medical, legal, or financial advice).
Liability: Charm is not liable for any damages resulting from the output or actions of an AI Agent produced or run on our platform.
7. Intellectual Property Rights
The Charm platform, including the CLI, SDK, website design, logos, and underlying technology (excluding User Generated Content), is the property of the Charm development team and is protected by copyright laws.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9. Limitation of Liability
IN NO EVENT SHALL CHARM OR ITS DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws, without regard to its conflict of law provisions.
